Terms of service

This English version is provided for convenience. In case of discrepancy, the French version prevails.
These general terms of sale apply to the services sold by KAVDAL to business clients. They are provided to any client who requests them (article L441-1 of the French Commercial Code) and prevail over the client’s purchasing terms, unless otherwise agreed in writing.
1. Provider

2. Scope
These terms apply to the data diagnostic, to dashboard, automation, website and application services, and to monthly support. They are for business clients only.
KAVDAL Apps sold on the Atlassian Marketplace are covered by their own licence agreement (EULA).
3. Orders
- The data diagnostic is ordered in writing (by email), after the free call or on simple request.
- Other services are subject to a written quote, valid for 30 days. The order is formed when the quote is accepted (signature or written agreement by email) and, where applicable, the deposit is paid.
- Prices published on the site are starting prices. The firm price is stated in the quote.
4. Prices
Prices are in euros. VAT not applicable, art. 293 B of the French Tax Code. Unless stated otherwise in the quote, the following are not included: software licences, third-party subscriptions and travel expenses.
5. Data diagnostic and guarantee
The diagnostic includes an interview, a review of the files and tools provided by the client and a report with 3 to 5 concrete actions. The report is delivered within 5 business days of the interview and receipt of the necessary information.
Guarantee. If the report does not contain at least 3 concrete actions, the client receives a full refund of the diagnostic on simple request by email within 30 days of delivery of the report.
Deduction. If the client orders a project within 3 months of the diagnostic, the price of the diagnostic is deducted from the price of the project.
6. Payment
- Diagnostic: paid when ordered.
- Projects: deposit on order, in the amount stated in the quote, balance on delivery.
- Monthly support: invoiced at the start of each month.
Invoices are payable within 30 days of their issue date. No discount is granted for early payment.
7. Late payment
Any late payment automatically incurs, without prior notice, penalties at the interest rate applied by the European Central Bank to its most recent refinancing operation plus 10 percentage points, and a fixed recovery fee of €40 (articles L441-10 and D441-5 of the French Commercial Code). KAVDAL may suspend ongoing services until full payment.
8. Timelines
Stated timelines run from receipt of the deposit, access and necessary information. They are given in good faith; a delay caused by a missing item expected from the client postpones delivery accordingly.
9. Client obligations
The client provides the necessary access, files and information, appoints a contact person and approves deliverables within a reasonable time. The client warrants holding the rights to the data and content it provides.
10. Delivery and acceptance
On delivery, the client has 10 business days to report in writing any deviation from the quote. Without reservations within that period, the service is deemed accepted. Reported deviations are corrected free of charge.
11. Ownership of deliverables
Upon full payment, the client holds the rights to deliverables created specifically for it (dashboards, automations, code, documentation): KAVDAL assigns to the client the rights of reproduction, representation, adaptation and exploitation, worldwide and for the legal duration of the rights.
KAVDAL retains its know-how, methods and generic components; the client receives a free, non-exclusive and perpetual licence to use them for the purposes of the deliverables. Third-party software and services remain subject to their own licences.
12. Monthly support
Support is subscribed for one month, renewed automatically. Either party may end it at any time by email; termination takes effect at the end of the current month, with no penalty. Support includes the maintenance, small changes and assistance described in the quote.
13. Confidentiality
Each party keeps confidential the information received from the other during the project and for 3 years after it ends.
14. Personal data
When KAVDAL processes personal data on the client’s behalf, it acts as a processor (article 28 GDPR). The parties then sign a data processing agreement setting out the subject matter, duration, security measures and sub-processors.

15. Liability
KAVDAL is bound by an obligation of means. Its liability is limited to direct and proven damage, and capped at the amount paid by the client for the service concerned. It does not cover indirect damage (loss of revenue, data or business), nor decisions taken by the client on the basis of the deliverables.
16. References
KAVDAL only names a client as a reference, or publishes its figures, logo or a quote, with the client’s written consent.
17. Force majeure
Neither party is liable for a failure caused by force majeure within the meaning of article 1218 of the French Civil Code. The obligations concerned are suspended for the duration of the impediment.
18. Governing law and disputes
These terms are governed by French law. In the event of a dispute, the parties first seek an amicable solution. Failing that, the dispute is brought before the court with jurisdiction under the ordinary rules.
